Main Function

Serves as Chief Legal Officer to the Illinois Health & Hospital Association. Serves as a member of the Senior Leadership Team and a senior advisor to the president.

Outline of Responsibilities

Chief Legal Officer

Either personally or through employed or contracted attorneys and other staff, the General Counsel performs the following functions:

Provides legal advice, guidance, and representation to IHA and its related entities with respect to business, transactional, governance, regulatory, policy, advocacy, and compliance matters. Relevant areas of law include non-profit and for-profit corporate organization and governance; federal, state and local lobbying; federal, state, and local campaign finance; antitrust; information technology; healthcare data; privacy and security; (c)(6) and (c)(3) tax-exemption; contracts; government contracts and grants; insurance regulation; group purchasing; intellectual property; and employment.

Serves as chief compliance officer of IHA and related entities.

Develops, maintains, and updates corporate documents, including articles, bylaws, policies, licenses, corporate minutes, regulatory filings, and contracts. May serve as Secretary or Assistant Secretary of IHA or related entities.

Provides information and education regarding relevant legal issues to IHA staff, boards and members.

Manages IHA’s involvement in litigation or administrative proceedings as a party or amicus curiae. Drafts or oversees the drafting and filing of amicus briefs consistent with IHA policies.

Selects and supervises legal department staff and outside counsel to carry out any of the responsibilities of the general counsel.

Manages IHA’s relationship with the affiliate society, Illinois Association of Healthcare Attorneys.

Senior Advisor to President & CEO / SLT Member

Serves as a member of the Senior Leadership Team.

Participates in strategic planning, budgeting, and selection of trustees and officers.

At request of president, represents IHA on governmental or non-governmental boards, committees, or similar bodies; speaks, advocates, or negotiates on behalf of IHA.

Maintains relationships with trustees, officers, and key members.

Serves as member of Advocacy Team on select issues, providing analysis on legislative, regulatory and judicial issues affecting members. Participates in strategy development and implementation on select issues.

Serves as member of Policy Team on select issues, with particular focus on Medicaid assessment and reimbursement and issues related to transformation to new models of care.

Other duties as assigned by the president or IHA Board of Trustees.

Qualifications

Appropriately licensed to practice law in-house in Illinois.

Minimum of 8 years’ experience, preferably advising hospitals or health systems, other types of health care providers, or health-related trade associations or professional societies.

Knowledge of the legal, regulatory, compliance and health policy issues confronting hospitals.

Experience in relevant areas of law, such as non-profit and for-profit corporate organization and governance; federal, state and local lobbying; federal, state, and local campaign finance; antitrust; information technology; healthcare data; privacy and security; (c)(6) and (c)(3) tax-exemption; contracts; government contracts and grants; insurance regulation; group purchasing; intellectual property; and employment.

Excellent speaking and writing skills, including the ability to clearly describe complex issues.

Ability to exercise judgment and diplomacy while addressing sensitive or challenging issues with internal or external stakeholders (such as trustees, officers, members, public officials, legislators, auditors, regulators, media or other interest groups).

Ability to think creatively and strategically.

Effective leadership, facilitation, and interpersonal skills.

Ability to handle multiple competing demands.
