This position provides strategic leadership to achieve key business objectives. S/he will serve as a key resource to the LNC Board of Directors and senior management. S/he will strategically provide highly specialized expertise and counsel of board responsibilities, logistics, and corporate governance.
Leads and executes the overall strategic vision for the corporate, securities and finance law functional areas.
Leads the identification, development, and implementation of strategic process improvements that improve quality across the team, business unit, and/or the organization for assigned area(s) of responsibility.
Leads and executes the corporate, securities and finance organizational goals, objectives, and operating procedures.
Leads and executes the effective implementation, integration, and execution of corporate and finance law strategic and tactical plan initiatives.
Leads and enhances organizational initiatives by positively influencing and supporting change management and/or departmental/enterprise initiatives within assigned area(s) of responsibility.
Oversees and/or provides legal counsel and services primarily to senior leadership/management on legal problems of a difficult and highly complex nature, including emphasis on establishing policies that minimize legal risk.
Executes all LNC Board of Director and Committee meeting logistics, attends and record minutes of all board and committee meetings, and facilitates board communications.
Provides thought leadership to the Board on its roles and responsibilities
Maintains knowledge on current and emerging developments/trends for assigned area(s) of responsibility, assesses the impact, and collaborates with executive/senior management to incorporate new trends and developments in current and future strategies
Oversees and/or provides the orientation of new Directors and Director training and development.
Oversees the Corporate disclosure and ensures compliance with state corporation laws, stock exchange listing standards, and SEC reporting.
Provides stockholder relations including stock issuance and transfer operations, stockholder correspondence, and preparation and distribution of the annual proxy statement
Executes the processes pertaining to the annual shareholder meeting.
Serves as a legal resource for investor communications and engagement on corporate governance issues.
Builds organizational capability within his/her assigned area(s) of responsibility..
J.D. from a top law school with strong academic performance
Admission and good standing in at least one state (if not Pennsylvania, then eligibility for the Pennsylvania In-House Counsel Limited Licensure)
12+ Years’ experience at a law firm and/or corporate legal department focused on financial services or insurance.
Demonstrated experience with Corporate disclosure and ensuring compliance with state corporation laws, stock exchange listing standards, and SEC reporting.
Ability to effectively resolve difficult disputes and business challenges using highly refined functional, partnering and leadership skills.
Ability to perform under stress in cases of emergency, critical or hazardous situations.
Ability to work with others in a team environment.
Demonstrated ability to develop strategies and business plans to deliver and exceed expected business objectives and results.
Demonstrated ability to identify, develop and implement processes improvements.
Demonstrated strong relationship management skills with internal clients (e.g. senior/executive management, peers and colleagues); proven ability to develop creative and collaborative approaches.
Demonstrates strong project management leadership skills including, critical ability to coordinate and balance multiple projects in a time-sensitive environment, under pressure, and meeting deadlines.
Finds common ground and can gain collaboration among senior/executive management, colleagues and peers; can influence outcomes without directing or commanding.
Proficiency with Microsoft Office Suite (Word, Excel, PowerPoint, Outlook).
Successfully completes regulatory and job training requirements.

Demonstrates strong interpersonal skills with a collaborative style.
