nnJob DescriptionnThe SVP/Chief Legal Officer (CLO) is responsible for leading corporate strategic and tactical legal initiatives for Company. Reporting directly to the CEO, the CLO is an integral part of the senior leadership team and provides senior management with effective advice on company strategies and their implementation, manages the legal function, and obtains and oversees the work of outside counsel for specialized legal issues.The CLO serves as the senior attorney for, and consultant to, the health system comprised of Company, Inc., and its wholly-owned subsidiaries. The CLO is expected to develop and maintain the legal capacities of the organization. In addition, the CLO will move the organization forward by working collaboratively with senior management colleagues to arrive at and implement short and long-term organizational decisions which utilize organizational, industry, and competitive knowledge.Description1. Responsibility: Fiscal Management and Resource UtilizationPrepares, justifies and administers departmental and program budgetsMaximizes and manages allocated resources to achieve desired departmental and program results (staffing, space, equipment and supplies).Leads strategies to improve financial performance for assigned areas and hospital, including expenses, revenue and productivity.4. Serves as the senior legal counsel and consultant for the Company, Inc., and its wholly owned subsidiaries including hospitals, associated clinics, the research institute, the foundation, and other entities directly or indirectly controlled by Company, Inc.Serves as key lawyer/legal advisor on general business transactions. The CLO is responsible for negotiating, drafting, and execution of legal documents, for example: employment practices; worker’s compensation; customer contracts; vendor contracts; leases; employment agreements; non-disclosure and Business Associate agreements.Conducts corporate regulatory compliance, including registrations, license applications, bond securitization, corporate filings, and intellectual property renewals.When appropriate, participates in structuring, negotiating, and documenting complex financial transactions.Possesses a working knowledge of health, benefits, insurance, and employment and labor laws. Researches and advises on health care laws and regulations affecting the Company's business and operations.Protects the company’s legal interests and provides hands-on legal counsel to executive staff and all levels of management. Advises senior management and Boards of Directors and ensures compliance with transactions and general corporate legal matters.Reviews and recommends outside counsel representation; oversees litigation, consumer complaints, and all other matters assigned to outside counsel.Facilitates the development, implementation, and compliance with health system policies and procedures, regulatory and legal requirements, and current health care standards.Works in partnership with Enterprise Risk Management to manage legal claims and litigation in a manner that minimizes potential company liability and external legal counsel expenses.Provides guidance on the legal aspects of medical staff privileging and credentialing, patient-related matters, clinical risk, clinical research, and employment law.Supervises and manages a team of corporate counsel and other members of the legal departmentEDUCATION REQUIREMENTSRequired - Doctoral Degree - Field of Study: Juris Doctorate from accredited law schoolEXPERIENCE REQUIREMENTSRequired - 10 years total experience required, which includes 5 years of healthcare law experience, which includes 2 years of Supervisory experience experience, which includes 10 years of relevant legal experiencePreferred - 5 years corporate transactional and finance law experience preferredCERTIFICATION / LICENSE / REGISTRY REQUIREMENTSRequired - Attorney License: (AR) (Candidate must possesss at time of hire)SKILL REQUIREMENTSRequired - Demonstrated written and verbal communication skills required.Required - Demonstrated ability to manage multiple deadlines and tasks.Required - Demonstrated organizational skills and time management skills required.Required - Demonstrated decision-making skills.Required - Experience with Microsoft Word required.
